Legal Agreement: Terms of Service

TERMS OF USE

 

Use of TAD Space Premises are subject to the following Terms of Use (“TOU”).  TAD Space reserves the right to modify and/or update the TOU at any time.

 

  1. Internet and Computer Policy
    1. Wireless internet access is provided with your membership. Service interruptions, if they occur, will be handled as promptly as possible. TAD Space is not responsible for any data, business or other losses as a result of such interruptions.
    2. You are responsible for protecting any devices and data from surges, theft, virus, or other attack.
    3. You are receiving a single user account solely for your use through one unit per login session. Unauthorized access is prohibited. You agree not to transfer any aspect of the Service, share your IP address or ISP Internet connection, access simultaneously through multiple units, or authorize access by any other individual or entity. You have no rights to a specific IP or other address, log-in name, or password that you use on our network, and each may be changed at any time. TAD Space will assign you a varied IP address each time you access the Service.
    4. You agree not to act with any fraudulent, unlawful, harassing or abusive purpose, or so as to damage or cause risk to our equipment, business, reputation, employees, subscribers, facilities, or to any person. Improper uses include, but are not limited to:
      1. Violating any applicable law or regulation;
      2. Posting or transmitting content you do not have the right to post or transmit, orthat is unlawful, untrue, stalking, harassing, libelous, defamatory, abusive, threatening, obscene, hateful, harmful or otherwise objectionable as determined by TAD Space;
  • Harvesting data about third parties without their knowledge or consent;
  1. Deleting, tampering with, or revising any material posted by any other person or entity;
  2. Accessing, impairing, tampering with or using non-public areas of the Service or any TAD Space or related website, computer systems or network;
  3. Attempting to probe, scan, breach or test the vulnerability of a system or network;
  • Using any engine, software, agent, device, or mechanism other than the software and agents provided by TAD Space or other generally available web browser to search;
  • Sending unsolicited messages, including promotions or advertisements, "pyramid schemes", "spam", "chain mail" or "junk mail;”
  1. Attempting to decipher, decompile, disassemble or reverse engineer any of the software in any way making up a part of any website or network;
  2. Interfering or attempting to interfere with any member, host, or network, including sending a "virus,” overloading, "flooding," "spamming," "crashing," or "mailbombing" any TAD Space or related website or network; or
  3. Impersonating or misrepresenting your affiliation with any person or entity.

 

  1. Common Spaces:
    1. You shall not place anything or allow anything to be placed within the building that, in TAD Space's judgment, appears unsightly from the common areas or from the outside of the building.
    2. The sidewalks, halls, passages, exits, entrances, and stairways shall not be obstructed or used for any purposes other than for ingress to and egress from the premises. These spaces are not for the use of the public and TAD Space retains the right to control access. Roof access is prohibited.
    3. The restroom facilities shall not be used for any purpose other than for which they were built, nor shall a foreign substance be thrown in. You bear the cost of any damage from a violation.
    4. You shall not cause any unnecessary janitorial labor or services by reason of your carelessness or indifference in the preservation of good order and cleanliness in any TAD Space area.
    5. You shall not make any attempt to adjust air conditioning or heating systems.

 

  1. Interactions with Other Members
  2. You shall not disturb, interfere with, or inhibit any member’s use and enjoyment of TAD Space.
  3. Cellphone Policy: use of cellular phones and other communication devices must not be disruptive to other Members. Members are requested to turn all phones to vibrate and to use a headphone, phone booth area, or meeting room for calls exceeding three minutes.

 

  1. Prohibited Items and Activities
    1. There will be no cooking or lodging on the Premises (excepting coffee makers and microwaves).
    2. You shall not bring, use, or keep in the Premises any combustible fluid or material, or use any method of heating or air conditioning other than that supplied by TAD Space.
    3. No boring or cutting of wires is to be allowed without the consent of TAD Space. The locations of office equipment affixed to the Premises are determined by TAD Space, in its sole discretion.
    4. No furniture, packages, supplies, equipment, or merchandise will be received or transported inside, except between such hours and in such stairways as designated by TAD Space. TAD Space shall have the power to prescribe the weight, position, and support by additional materials of items at your expense. Items may not exceed the weight for which the floor is designed.
    5. You shall not change or install locks without the prior written consent of TAD Space. Upon the termination of agreement, you shall deliver all keys and passes which have been furnished to you. In the event of the loss of any keys, you shall pay TAD Space for replacements. You shall not make, or cause to be made, any additional keys.
    6. Without the prior written consent of TAD Space, you shall not use the name or picture of any TAD Space premise, except the use of the address as the address of your business.
    7. Except with the prior written consent of TAD Space, you shall not sell or cause to be sold any items or services in or from the Premises, nor shall you carry on or allow any person to carry on the business of machine copying, stenography, typewriting, or similar business from the Premises without written consent of TAD Space.
    8. You shall not conduct any or permit any auction, fire, or bankruptcy sale to be held on the Premises, nor store goods, wares, or merchandise on the Premises. You shall not allow any vending machines on the Premises without TAD Space's prior consent.

 

  1. Access to and Maintenance of Premises
  2. You shall give prompt notice to TAD Space of any accidents to or defects in plumbing, electrical fixtures or heating apparatus reasonably known to you so the same may be attended to properly.
  3. You shall agree to bear the cost of damage to the Premises from your own negligence.
  4. You shall not install, maintain or otherwise locate at TAD Space any computer server of any kind, whether hardware or software without written permission from TAD Space.
  5. You shall follow the usage limitation for shared conference room space: no more than 15 individuals in the large conference room, 4 in the small breakout space, and 25 in the classroom.
  6. Monthly allotments of conference space included with memberships and the purchase of additional usage are subject to availability. Unused time does not roll over or accrue.
  7. No unauthorized guests or clients are allowed. You must give notice of any additional or different people who will be entering the Premises and obtain approval from TAD Space.  Daily rates may apply for their use and entrance of TAD Space Premises and Services.
  8. When accessing the building after hours, you shall cause all doors to the Premises to be closed and securely locked before leaving the building.

 

If TAD Space suspects violations of any of the above, TAD Space will investigate and may institute legal action, immediately terminate the Membership Agreement without prior notice to you, and/or cooperate with law enforcement authorities in bringing legal proceedings against violators. You agree to reasonably cooperate with TAD Space in investigating suspected violations.
